Data room

The folder of documents an investor reads after they are interested.

Incorporation documents, cap table, financials, key contracts, and any evidence behind the claims in the deck. It exists so diligence does not become a month of email.

Having one ready signals that the numbers in the deck came from somewhere. Assembling it after the first meeting is where many raises quietly lose their momentum.

Related terms

  • Due diligenceThe checking an investor does before money moves.
  • Cap tableWho owns what, and what they paid for it.
